Types of company in England

From a legal and tax perspective, an English Limited company is similar to a joint-stock company. Another type of entity is the LP – Limited Partnership, which resembles a continental limited partnership. The LLP is also a popular choice: it offers limited liability to all members while being tax-transparent, meaning it is not taxed at entity level.

Shareholder anonymity in England

The shareholders and directors of an English Ltd. are recorded in publicly accessible company registers, so their identity is a matter of public record. The same applies to English LPs and LLPs. Shareholders of an English company can remain anonymous if the company is owned by, for example, a Delaware LLC.

Company taxation in the United Kingdom:

  • – Income tax on profits up to GBP 300,000: 20%
  • – Income tax on profits above GBP 300,000: 21%
  • – VAT rate: 20%

An English Ltd. carries a heavier tax burden than an English LLP, because a Ltd. is taxed both at company level and at shareholder level. At the first level, the profits made by the company are taxed; at the second level, further tax arises when the company pays those profits out as dividends.

A Ltd. is not required to have any minimum share capital. Unless you choose otherwise, we will set up your company with share capital of GBP100.
Neither the shareholders nor the directors of a Ltd. are liable for its debts or bankruptcy (unless they act fraudulently or with extreme recklessness), so personal and company assets are kept separate.
To transfer shares or open a bank account outside the United Kingdom, you will need a certificate of incumbency and a certificate of good standing bearing an apostille, which we can arrange for you.
A company in England is formed within 24 hours, except where the proposed name contains a restricted word or is identical to the name of an existing company.
A company in England must pay an annual fee to Companies House, the English companies register. The deadline for filing a company tax return in England is 12 months after the end of the company’s accounting period. For instance, if the accounting period ends on 31 December, the company must file its tax return by the end of December of the following year at the latest. The fee for the registered office service is usually payable every twelve months from the date of incorporation.
The name of a Ltd company must include the word Limited or the abbreviation Ltd.
Every English company must have a registered office and a service address in England. You can order registered office, service address and mail forwarding services when the company is formed or at any time afterwards via our contact form. The standard registered office service includes a 12-month subscription for forwarding official correspondence by post, i.e. letters from the companies register and the tax office. You can also add forwarding of business correspondence, as well as scanning and emailing of scanned post.
