Buying an Existing Civic Association: What to Check
Acquiring an existing civic association can be a practical alternative to founding a new one, particularly when you want to start activities quickly. An association that has already been registered can save time on preparation and registration. However, as with any acquisition, it is important to understand exactly what you are taking on.
How the Change Works
A civic association is a membership organisation, so in practice an acquisition usually involves changes to its membership and governing bodies, and possibly to its name, registered office and statutes, in accordance with its existing rules. These changes must be properly documented and notified to the Ministry of the Interior of the Slovak Republic, which keeps the register of associations.
Due Diligence Checklist
- Confirm that the association is validly registered and active
- Review the statutes and whether they suit your planned activities
- Check for any debts, tax arrears or outstanding obligations
- Verify that accounting and tax filings are up to date
- Check whether there are ongoing contracts, grants or disputes
- Ensure there is a clear record of current members and officers
The Share of Income Tax
Many associations are interested in receiving a share of income tax assigned by taxpayers. Eligibility depends on meeting the statutory conditions and registration deadlines for the relevant year. If this is important for your plans, check carefully whether the association meets the requirements and what steps remain to be taken.
Updating the Statutes
Existing statutes may not reflect your goals. Updating the aims, structure and decision-making rules after the acquisition helps ensure the association is ready for its new direction.
Transparency and Integrity
A civic association must be used for the purposes set out in its statutes and the law. Acquiring an association to pursue genuine public-benefit or community goals is a legitimate route, and transparency in its management builds trust with members, donors and authorities.
