Setting up a company in Wyoming is a sound option for entrepreneurs who want a straightforward US corporate structure, minimal administration and a business-friendly climate. Your first decisions concern the legal form, the company name, the ownership structure, how the company will be run and which services it will require after registration. The LLC is the most popular choice, although a C-Corp, LLP, LP or another form may be better suited to certain business purposes.

When selecting a state of formation, it is worth comparing Wyoming with other US states such as Delaware, Florida, New York, Nevada or California. Wyoming’s appeal lies chiefly in its simpler administration, the strong privacy it affords LLCs, its low running costs and its favourable tax framework. However, if the company actually operates in another state – with an office, staff, a warehouse or management based there – it may also need to register in that state as a foreign entity.

How a Wyoming company is taxed depends not only on where it is registered but, above all, on its federal tax regime, where it trades, who owns it and where its income originates. Wyoming is known for levying neither a state corporate income tax nor a state personal income tax. This does not, however, exempt the company from federal tax or reporting obligations. A C-Corp is taxed at company level, whereas an LLC is normally transparent by default, so its profit or loss passes through to its owners.

Anonymity and privacy are further factors to weigh when setting up a company in Wyoming. For an LLC, the standard public filings generally reveal less about the owners than in some other states. Nevertheless, what appears on the public record can differ depending on how documents are filed and what details are entered in annual reports or contact fields. It is therefore advisable to use a professional registered agent and to arrange addresses and internal documents correctly.

Wyoming also makes it easy to maintain the company in subsequent years. The company must have a registered agent with a physical address in Wyoming and must file an annual report. The fee is generally modest and is calculated under state rules based on the value of the company’s assets located in Wyoming. Compared with many other states, Wyoming is an administratively uncomplicated jurisdiction.

On formation, or later when arranging the company’s tax affairs, several tax regimes may be selected or considered:

  • an LLC can operate as a tax-transparent entity, with profit or loss passing through to its members on the basis of pass-through taxation,
  • the company can elect to be taxed as a corporation, with tax payable at company level and again on any dividends distributed,
  • unless the owners make a specific election, an LLC is transparent by default, whereas a Corp is generally taxed as a separate entity.

Federal taxes

Types of federal tax: Federal taxes for companies (income tax) – relevant chiefly to companies taxed as a C-Corp. Federal taxes for individuals (income tax) – relevant to LLC owners, individuals and pass-through structures.

Ltd., Inc. and Corp. entities are generally treated as a C-Corp unless a different regime has been elected. A C-Corp files a federal tax return and pays tax at company level, and its shareholders may owe further tax when dividends are distributed.

S-Corp is a specific US tax regime intended mainly for US citizens and residents. In practice, foreign nationals living outside the USA tend to choose an LLC or a C-Corp instead.

LLC (Limited Liability Company) is transparent under its default arrangement. Its business result is not taxed separately at company level but flows through to the owners. If a Wyoming LLC has staff, offices, a warehouse, management or any other business presence in the USA, its federal tax obligations must be reviewed, together with any tax obligations in the states where it actually operates.

Social contributions mainly concern LLC owners who reside in the USA or who are regarded as self-employed. In such cases, they may become liable for self-employment tax, Social Security and Medicare.

Individuals are taxed on their income according to their tax residence, the source of the income and the strength of their connection to the USA. Foreign owners should establish the correct structure before the business begins trading, rather than after the first income arrives.

State income taxes

Types of state income tax: State income taxes for companies – Wyoming does not ordinarily levy a state corporate income tax. State income taxes for individuals – Wyoming has no state personal income tax either.

This benefit is one of the main reasons Wyoming is favoured for forming LLCs and smaller US business structures. It is important, however, to distinguish between the state of formation and the place where the business actually operates. If the company has staff, an office, a warehouse or an economic presence in another US state, it may also have obligations there. Wyoming therefore cuts state-level paperwork within Wyoming itself, but it does not remove the need to review the rules in the states where the company is genuinely active.

In addition to its federal obligations, a company must keep on top of Wyoming’s annual report and licence tax. The annual report is filed each year, with the deadline linked to the first day of the month in which the company was formed. The fee has a fixed minimum, and for companies with substantial assets in Wyoming it may be calculated on the value of the assets located in the state.

Sales tax – state turnover tax

Sales tax is not determined solely by the state of formation. The key factors are where the customer is located, the type of sale, and whether the company has established a sales tax nexus in a given state. If a Wyoming company sells to customers in several US states, each state’s rules must be assessed individually. Sales to customers in Wyoming fall under Wyoming’s sales and use tax rules.
