Documents required for your company

To set up a company, all you need to do is complete a questionnaire or online form giving the company name and details of its shareholders and directors. No other requirements apply, such as permanent residence of the directors or shareholders, or an extract from a companies register. Some jurisdictions (the Czech Republic and Slovakia) require directors to provide a criminal record certificate. Instead of this certificate, a sworn declaration may be submitted stating that criminal record certificates are not issued in the director’s home jurisdiction and that the director has no criminal record. In addition, certain jurisdictions require directors to be permanently resident in the EU or in an OECD country.

The company formation process

  1. To set up a company, simply complete the form – either online or in Word
  2. We then prepare all the legal documentation and email it to you with signing instructions: Initial resolution of shareholders; Initial resolution of directors; Register of shareholders / members; Register of directors; Share certificates (paper securities evidencing ownership); The company’s articles of association or by-laws (articles of association, by-laws or operating agreement).
  3. If share capital has to be paid into a bank account before formation, we will help you open the account.
  4. We file the incorporation application with the companies register and form your company
  5. After incorporation, we send you a certificate of good standing or an extract from the companies register;
  6. If you have ordered a registered office, we will activate it.
  7. Where necessary, we provide company secretarial services (corporate secretary)
  8. Corporate Kit – you receive a presentation binder for your company documents and can order an embossing seal
  9. Once these steps have been completed, the company can begin operating – for example, acquiring a business share or other assets, issuing invoices and receiving payments.

Opening a bank account

We help companies open bank accounts in the USA, England, Hong Kong, Germany, Poland, the Czech Republic, Slovakia and offshore.

England. We help companies open a bank account in England with one of the largest banks (HSBC, Barclays, Lloyds or RBS). The condition is that one of the directors can produce a tenancy agreement, a landline, gas, electricity or similar utility bill showing that they live in England. An English account can also be opened online, and travelling to England in person is usually unnecessary.

Offshore, Hong Kong, Germany, Poland, the Czech Republic and Slovakia. We help companies open bank accounts in offshore jurisdictions such as Belize or St. Vincent, and in Hong Kong, Germany, Poland, the Czech Republic and Slovakia. To open an account, bank officers will require an extract from the companies register and, for cross-border account opening, an apostille as well, which you can order from us.

Special conditions. To open an account in Hong Kong with one of the major banks (HSBC, Barclays or Standard Chartered), one of the company’s directors must be present in Hong Kong in person. Proof of residence in the jurisdiction where the director is opening the account is not usually required (except in England and the USA).

VAT registration

We register companies for VAT, either with or without the right to deduct input VAT. We offer VAT registration in England and in all other EU member states. Once you are registered, we can also prepare and file your regular VAT returns. The price for preparing and filing VAT returns is EUR 50 and also depends on the number of transactions in the period concerned.

Costs and fees in subsequent years

Companies typically have several obligations each year:

  • 1. Annual Return Fee – Franchise Tax – tax licences. Paying the annual fees due to the companies register, known as the annual return fee, franchise tax or tax licence.
  • 2. Annual Return – filing financial statements with the companies register. Filing annual accounts each year with the companies register, or a statement of the company’s directors and registered office (annual return)
  • 3. Registered office and registered agent. Paying for the registered office, registered agent, registered office or registered address. Every state requires a company to have a registered office or registered agent.
  • 4. Tax returns and accounting. Filing a tax return and preparing the accounts and financial statements. For some types of company, a tax statement of income and expenditure is sufficient.
  • 5. VAT. Companies registered for VAT must also file regular VAT returns.
  • 6. Audit. In certain cases, companies are also required to have an audit carried out. We will always remind you in advance of the deadlines for paying annual fees and filing tax returns.
