Setting Up a General Partnership

Setting up a general partnership (v.o.s.)

A general partnership is a partnership in which at least two persons (legal entities or individuals) carry on business under a common business name and are liable for the partnership’s obligations with all their assets. There is no upper limit on the number of partners. A general partnership is very close to an association, but it has legal personality.

Advantages of a general partnership:

  • the partners of a v.o.s. are under no statutory obligation to make a contribution,
  • the partnership is tax-transparent, i.e. it does not pay tax on the profits it makes; profit shares are distributed among the partners according to their stake and then included in their personal tax returns,
  • setting up a v.o.s. is usually quick (often 9 – 14 working days).

Features of a general partnership:

  • it is formed by at least two partners joining together,
  • both individuals and legal entities may be partners,
  • each partner has unlimited liability for the partnership’s obligations with all their personal assets,
  • the partnership cannot be founded by a single individual or a single legal entity; it must always have at least two partners.

What must the business name of a general partnership contain?

The business name must include the designation “verejná obchodná spoločnosť”, which may be replaced by the abbreviation “ver. obch. spol.” or “v.o.s.”. If the business name is made up of a partner’s surname and that person ceases to be a partner, the v.o.s. may continue to use the name only with their consent (or, in the event of their death, only with the consent of their heir). If the business name contains the surname of at least one partner, the addition “a spol.” is sufficient.

The best-known general partnerships include: Lidl Slovenská republika v.o.s.
