Forming an LLC in Wyoming is an exceptionally efficient option for founders seeking affordable administration, a high level of privacy and a stable legal base in the USA. In 1977 Wyoming became the very first state to provide for the Limited Liability Company in legislation, and it remains one of the most sought-after jurisdictions for international business and asset protection.

Before starting the registration, you must check that the company name is available, appoint the mandatory Registered Agent and prepare the information for the Articles of Organization. The chosen name must be clearly distinguishable from existing entities on the register and include the words Limited Liability Company or the abbreviation LLC.

The formation document (Articles of Organization) is formally filed with the Wyoming Secretary of State. The basic state filing fee is USD 100. Unlike in other states, the Wyoming formation document does not list the names of members or managers, which ensures a high degree of anonymity on the public register.

Unlike New York State, Wyoming does not require founders to publish a notice in newspapers, which significantly reduces start-up costs and speeds up the entire formation process. The company comes into existence as soon as the Secretary of State approves the registration form.

Immediately after registration, the internal company agreement (Operating Agreement) is prepared, an EIN is applied for from the IRS and any licences or bank accounts are arranged. The Operating Agreement is the key internal document setting out the management rules, voting rights, profit distribution and the procedure for transferring interests.

Why Consider Forming an LLC in Wyoming?

  • a high degree of privacy, as the public register does not require the names of members or managers;
  • zero state income tax for both companies and individuals at Wyoming state level;
  • very low maintenance costs in the form of an annual fee (Annual Report from USD 60);
  • robust legal protection of members’ assets (Charging Order Protection);
  • straightforward formation by one or more foreign owners, regardless of residence;
  • no requirement to publish notices in newspapers after registration;
  • the possibility of obtaining a federal tax number (EIN) from the US tax authority, the IRS;
  • a flexible management structure set out in the Operating Agreement;
  • the option of opening business accounts once the chosen bank’s conditions are met;
  • an excellent environment for holding companies, e-commerce, digital services and intellectual property.

Protecting personal assets does, however, demand diligence. The owner must keep private and company finances strictly separate, use a dedicated bank account and conduct all business exclusively in the name of the LLC.

Taxation of an LLC Formed in Wyoming

Federal Tax Classification

An LLC is an entity created under state legislation and, from the perspective of the US tax authority (IRS), it has no single universal tax regime. A single-member LLC with a non-resident owner is classified by default as a disregarded entity, so its tax result passes straight through to the member.

A multi-member LLC is taxed by default as a partnership: the company files an information return and allocates its profit to the members. Where it suits the business plan, the LLC may elect to be taxed as a Corporation.

Where the sole member is a foreign person, a significant reporting obligation towards the IRS arises. For reportable transactions, Form 5472 must be filed each year together with a pro forma Form 1120. Reportable items include contributions by the owner, withdrawals of profit, loans and payment of company expenses from personal accounts.

Ownership by a non-resident does not in itself guarantee exemption from US taxes. The key factors are the source of revenue, activities carried out directly in the USA, physical premises and employees. Income connected with a US business (ECI) may give rise to an obligation to file a return in the USA.

If the company is managed from the UK, the founder must also take domestic rules into account — in particular tax residence, the place of effective management of the business and how the US LLC is treated by the UK authorities.

Taxes and Obligations in the State of Wyoming

The State of Wyoming levies no state income tax on companies or individuals. For LLCs with no physical presence in Wyoming that earn income from worldwide trade, this means a zero tax burden at state level.

As in other jurisdictions, Sales Tax rules must be monitored when selling goods in the USA. If the company creates a physical or economic nexus in any state, it becomes obliged to register for and pay that state’s local sales tax, even though the LLC itself is registered in Wyoming.

Sales Tax in Wyoming

Wyoming’s basic state sales tax is 4%, and counties may apply surcharges of 1% to 2%. If a Wyoming LLC does not sell goods to customers within the State of Wyoming, the state Sales Tax does not affect it.

It is important to distinguish between state income tax and the local Sales Tax of the individual US states in which goods are delivered to end consumers.
