We offer you 3 ways to legally “get rid of” your “dormant” or inactive company.

1. Buyout of your company

Advantages:

  • Speed (transfer recorded in the Commercial Register within 2 weeks)
  • If your s.r.o. is attractive – for example, if it is VAT-registered or has account balances, licences, concessions or regulated trade licences – you could receive around €400 to €2,200 for it

Disadvantages:

  • If your s.r.o. is not attractive, it has essentially no value and therefore cannot be sold.

2. Liquidation of your company

If you are unable to sell or merge your company, liquidation and deletion from the Commercial Register become an option. Advantages:

  • Complete dissolution of the company
  • Low cost where the dissolution is straightforward – €700
  • If liquidation begins before the end of 2014, no tax licence is payable in 2015

Disadvantages:

  • A lengthy liquidation process (in most cases exceeding 6 months)
  • A complicated process – two applications for entry in the Commercial Register, publication in the Commercial Gazette, opening and closing the books and the associated preparation of extraordinary financial statements
  • Deleting the company from the register requires the consent of the tax administrator (the tax office), which may therefore initiate a tax audit

3. Petition for the dissolution of your company by the court ex officio

The least favourable way to dissolve a company and remove it from the Commercial Register is to file a petition asking the court itself to open dissolution proceedings.

Advantages:

  • The simplest option – “the court handles the entire process”

Disadvantages:

  • Deletion of the company may take as long as 2–3 years, as the court is not bound by any deadline.
  • Financially burdensome in terms of tax licences – the tax licence is payable for every year
