Why the Slovak Business Register Matters

The Business Register of the Slovak Republic is the official public record of companies and other entities doing business in Slovakia. Anyone planning to set up a Slovak company, or to do business with one, will sooner or later need to work with the information it contains.

Checking Your Company Name

Before you register a new company, it is important to make sure the name you have chosen is available. A company name must be distinguishable from names already entered in the register, and it must include the correct designation of the legal form, for example s.r.o. for a limited liability company. Checking the register in advance helps you avoid having your application delayed or refused because of a conflict with an existing business.

What Information the Register Holds

The register contains key details about each entity, which makes it a useful tool for checking business partners. Typical information includes:

  • The business name and registered office
  • The company identification number
  • The legal form and date of registration
  • The scope of business activities
  • The statutory body, such as directors, and how they act on behalf of the company
  • Shareholders and the registered capital, where applicable

Keeping Your Entry Up to Date

Registration is not a one-off task. When important details change, for example the registered office, directors or shareholders, the change must be filed with the register. Keeping your entry accurate is part of good corporate governance and helps maintain trust with banks, clients and suppliers. In some situations you may also need an official extract from the register, which can be legalised with an apostille for use abroad.

Brand Protection Beyond the Register

Registering a company name does not automatically give you trademark protection. If the name is important to your brand, it is worth considering a separate trademark search and application.
